Welcome to DexAI ("we", "our", or "us"). These Terms & Conditions govern your use of our website at dexai.app and our AI-powered financial automation platform, including receipt scanning, expense tracking, and tax reporting services (the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Services.
2. Eligibility
You must be at least 18 years old and capable of entering into a legally binding contract to use our Services. By using DexAI, you represent and warrant that you meet these requirements.
3. Account Registration
To access certain features of our platform, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your information to keep it accurate
- Keep your login credentials confidential and secure
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorised access or security breach
4. Subscription Plans & Billing
DexAI offers various subscription tiers as outlined on our Services page. By subscribing to a paid plan:
- You agree to pay all fees associated with your chosen plan
- Billing is recurring (monthly or annually) unless cancelled
- Prices are subject to change with 30 days' prior notice
- All fees are non-refundable except as required by applicable law
- You may cancel your subscription at any time through your account settings
- Cancellation takes effect at the end of your current billing cycle
5. Acceptable Use
You agree not to use our Services to:
- Upload fraudulent, misleading, or manipulated documents
- Violate any applicable law, regulation, or third-party rights
- Attempt to gain unauthorised access to our systems or other users' data
- Distribute malware, spam, or harmful content
- Reverse-engineer, copy, or exploit our proprietary OCR technology
- Resell or redistribute the Services without our express written consent
6. Data & Receipt Processing
Our Services use AI and OCR technology to process your receipts and financial documents. You acknowledge that:
- We process your data in accordance with our Privacy Policy
- OCR extraction accuracy is typically 95%+ but not guaranteed to be 100%
- You should verify all automatically extracted data for accuracy
- We are not liable for errors resulting from incorrect data extraction
- You retain ownership of all documents you upload
7. HMRC & Tax Compliance
While our platform supports Making Tax Digital (MTD) compliance and VAT return submissions:
- DexAI is a software tool, not a substitute for professional tax advice
- You remain responsible for the accuracy of your tax filings
- We do not guarantee acceptance of submissions by HMRC
- We recommend consulting a qualified accountant for complex tax matters
8. Third-Party Accounting Integrations
DexAI offers integrations with third-party accounting platforms including, but not limited to, QuickBooks, Xero, FreeAgent, Sage, and other compatible services (collectively, "Accounting Integrations"). By connecting your accounting software account to DexAI, you agree to the following:
8.1 Authorisation & Permissions
- You authorise DexAI to access your accounting data through official APIs provided by the third-party platform
- The scope of access is limited to data required for the features you enable (e.g., invoices, contacts, payments, reports)
- You must have the legal right to grant this access (i.e., you are the account owner or an authorised administrator)
- DexAI requests only the minimum permissions necessary to deliver the integrated functionality
8.2 Data Synchronisation
- Data exchanged between DexAI and your accounting platform is transmitted via secure, encrypted connections
- Synchronisation frequency depends on your subscription tier and the third-party platform's API rate limits
- We do not guarantee real-time data sync; some delays may occur depending on the platform's API availability
- You are responsible for reviewing synced data for accuracy and resolving any discrepancies
8.3 Third-Party Terms
- Your use of any Accountinging Integration is subject to the third-party platform's own terms of service, privacy policy, and acceptable use policies
- DexAI is not a party to your agreement with the third-party platform and has no control over their services, pricing, or availability
- Changes to the third-party platform's API, pricing, or terms may affect the availability or functionality of the integration
8.4 Revocation & Disconnection
- You may revoke DexAI's access to your accounting platform at any time through your account settings or the third-party platform's authorisation management
- Upon disconnection, DexAI will retain a copy of previously synced data in accordance with our data retention policy
- We recommend exporting your data before revoking access if you require a complete copy of your records
8.5 Limitation of Liability for Integrations
- DexAI is not liable for service disruptions, data loss, or errors caused by the third-party platform's API outages or changes
- We do not guarantee compatibility with all versions or editions of third-party accounting software
- Integrations may be modified, suspended, or discontinued if the third-party platform terminates our API partnership or changes their developer terms
9. Intellectual Property
The DexAI platform, including our OCR engine, user interface, branding, and all associated content, is the intellectual property of DexAI and protected by UK and international copyright laws. You are granted a limited, non-exclusive, non-transferable licence to use the Services for your internal business purposes.
10. Service Availability
We strive to maintain 99%+ uptime but do not guarantee uninterrupted service. We reserve the right to:
- Modify, suspend, or discontinue any feature with reasonable notice
- Perform scheduled maintenance with advance notice
- Implement usage limits to ensure fair access for all users
11. Limitation of Liability
To the maximum extent permitted by law, DexAI shall not be liable for:
- Indirect, incidental, consequential, or punitive damages
- Loss of profits, data, business opportunities, or goodwill
- Errors, delays, or inaccuracies in OCR data extraction
- HMRC penalties, interest, or fines resulting from filing errors
- Unauthorised access to your account due to compromised credentials
Our total aggregate liability shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless DexAI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
13. Termination
We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or is unlawful. Upon termination:
- Your licence to use the Services ceases immediately
- You may request export of your data within 30 days of termination
- Outstanding fees remain due and payable
14. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through a prominent notice on our website at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
